Terms of Service
The agreement between you and Shopthru.ai, Inc. when you use the product.
Acceptance
By creating an account, accessing, or using Shopthru.ai (the “Service”), you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
Account
You are responsible for safeguarding credentials, for activity under your account, and for the accuracy of information you provide. Notify us promptly of any unauthorized use.
Acceptable use
- No reverse engineering, scraping, or circumventing rate limits.
- No unlawful, infringing, or abusive content.
- No use to build a competing product or to train competing models.
- No interference with the integrity or performance of the Service.
Intellectual property and license
Shopthru.ai retains all rights in the Service, including software, models, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your inputs and outputs generated for your merchant; you grant us a limited license to process them to operate the Service.
Payment
Fees, billing cadence, and applicable taxes are set out in your order form or subscription. Fees are non-refundable except as required by law or expressly stated.
Termination
Either party may terminate for material breach uncured after 30 days’ notice. We may suspend access immediately for security or abuse. Upon termination, your right to use the Service ends and we will delete or return your data per the DPA.
Warranty disclaimer
The Service is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be incorrect; you are responsible for reviewing them before acting.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Aggregate liability for direct damages is capped at the fees paid for the Service in the twelve months preceding the claim.
Governing law
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware.
