1. AGREEMENT TO TERMS These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Shopthru.ai (“Company,” “we,” “us,” or “our”), concerning your access to and use of the www.shopthru.ai website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site” or the "Service"). You agree that by accessing the Service, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

5. AI SERVICE AND LIMITATIONS Shopthru.ai provides an AI-powered shopping assistant. You acknowledge and agree that: (1) the AI generates responses based on machine learning algorithms and may occasionally provide inaccurate, incomplete, or out-of-date information regarding product pricing, availability, or features; (2) the Service is for informational and convenience purposes only; (3) we do not warrant the accuracy of any AI-generated recommendations; and (4) you must verify all information with the third-party retailer before making a purchase.

6. THIRD-PARTY RETAILERS AND PURCHASES The Service allows you to discover and purchase products from third-party retailers. You acknowledge that: (1) Shopthru.ai is not the seller of record; (2) your purchase is governed by the terms and conditions of the third-party retailer; (3) we are not responsible for product defects, shipping delays, or return processing; and (4) any disputes regarding a purchase must be resolved directly with the retailer from whom the product was bought.

7. PROHIBITED ACTIVITIES You may not access or use the Service for any purpose other than that for which we make the Service available. Prohibited activities include, but are not limited to: (1) systematically retrieving data or other content from the Service to create or compile a collection, compilation, database, or directory without written permission from us; (2) tricking, defrauding, or misleading us and other users; (3) circumventing, disabling, or otherwise interfering with security-related features of the Service; (4) disparaging, tarnishing, or otherwise harming, in our opinion, us and/or the Service; (5) using the Service in a manner inconsistent with any applicable laws or regulations; and (6) attempting to reverse engineer or discover the source code or underlying algorithms of our AI models.

SITE MANAGEMENT We reserve the right, but not the obligation, to: (1) monitor the Service for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable any of your Contributions or any portion thereof; and (4) otherwise manage the Service in a manner designed to protect our rights and property and to facilitate the proper functioning of the Service.

9. TERM AND TERMINATION These Terms of Use shall remain in full force and effect while you use the Service. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON.

LIMITATION OF LIABILITY IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
